These Terms & Conditions ("Terms") govern your use of the Local Rank Gurus website and services. By accessing our site, requesting services, or signing a service agreement, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Local Rank Gurus provides Google Business Profile optimization, local SEO, review management, citation building, audits, reporting, and professional certification services for businesses. The specific scope, pricing, term, and deliverables of any engagement are defined in the written service agreement or order confirmation you sign.

SEO and local search rankings are influenced by many factors outside our control (including search engine algorithm changes). While we use industry best practices to improve your visibility, we do not guarantee specific rankings, traffic levels, or business outcomes.

2. Eligibility & Accounts

You must be at least 18 years old and authorized to act on behalf of any business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Client Responsibilities

To enable effective service delivery, you agree to:

• Provide accurate, current, and complete business information.
• Grant necessary access to your Google Business Profile, website, and related accounts when required.
• Respond to our requests for information, approvals, and content in a timely manner.
• Ensure you own or have rights to any content, images, or materials you provide to us.
• Comply with all applicable laws, including Google's policies and advertising guidelines.

4. Fees, Billing & Payment

Fees are described in your service agreement or order confirmation. Unless stated otherwise, recurring fees are billed monthly in advance. One-time fees (such as setup) are billed at the start of the engagement.

• Payment is due within the terms stated on your invoice. Late payments may accrue fees as defined in your agreement.
• You are responsible for all taxes associated with the services, except taxes on our net income.
• We may adjust pricing for new terms with reasonable advance notice; existing term pricing remains fixed for the contracted period.

5. Term, Cancellation & Refunds

Service agreements begin on the stated start date and continue for the agreed term. Month-to-month agreements may be cancelled with the notice period specified in your contract (default 30 days). Fixed-term agreements may not be cancelled early except as provided in the contract.

• Setup and one-time fees are non-refundable once work has commenced.
• Monthly fees already paid for the current billing period are non-refundable upon cancellation.
• Refunds, if any, are governed by the terms of your specific service agreement.

6. Intellectual Property

You retain ownership of your business name, brand, and content you provide. We retain ownership of our methodologies, tools, templates, reports, and any proprietary content we create.

Upon full payment, deliverables created specifically for you (such as optimized profile content or reports) are licensed to you for your business use. You may not resell or redistribute our proprietary materials or frameworks.

7. Certification & Examinations

Our certification portal allows registered students to take examinations and earn professional credentials. By participating, you agree that:

• You will not share exam questions, answers, or your account access with others.
• You will not attempt to circumvent grading, tamper with results, or misrepresent your credential.
• Certifications may be revoked for fraud, misconduct, or violation of these Terms.
• Certificate validity is subject to verification through our public verification system.

8. Acceptable Use

You agree not to:

• Use our services for unlawful, deceptive, or infringing purposes.
• Submit content that is false, misleading, or violates third-party rights.
• Attempt to access, disrupt, or compromise our systems, data, or other clients' information.
• Reverse engineer, scrape, or resell our tools, content, or data.
• Use our services in a manner that could damage our reputation or that of search platforms.

9. Disclaimers

Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will be uninterrupted, error-free, or achieve specific results. Search engine performance depends on factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Local Rank Gurus and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or business opportunities arising from your use of our services. Our total aggregate liability for any claim is limited to the fees you paid us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold Local Rank Gurus harmless from claims, damages, and expenses arising from your content, your breach of these Terms, your violation of applicable law or third-party rights, or your misuse of our services.

12. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. We will protect your data per our Privacy Policy, and you will not disclose our proprietary methods or pricing.

13. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction specified in your service agreement, without regard to conflict-of-law principles. Any dispute will first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be resolved by binding arbitration or the courts of competent jurisdiction as stated in your agreement.

14. Changes to Terms

We may update these Terms periodically. Material changes will be posted on our website with a revised "Last updated" date. Your continued use of our services after changes constitutes acceptance of the updated Terms.
